What Qualifies as “Like-Kind” Property Under IRC Section 1031?

One of the most common misconceptions among real estate investors is that “like-kind” means exchanging identical asset types—such as trading a single-family rental strictly for another single-family rental. Under Internal Revenue Code Section 1031, the term “like-kind” is defined much more broadly regarding real estate held within the United States.

In the realm of real estate, almost all real property held for investment or productive use in a trade or business is considered like-kind to any other real property held for the same purposes. This wide latitude allows investors to shift investment strategies, transition asset classes, and geographically diversify their portfolios without triggering immediate tax liabilities.

For example, you can exchange an apartment building for a triple-net (NNN) commercial property, raw land for a multi-tenant office building, or a industrial warehouse for a portfolio of single-family rental homes. Delaware Statutory Trusts (DSTs) and tenant-in-common (TIC) interests in real property also qualify as like-kind replacement properties under IRS revenue rulings.

However, certain assets are explicitly excluded from 1031 exchange eligibility. Primary residences, vacation homes used exclusively for personal enjoyment, properties held primarily for inventory or rapid resale (flipping), partnership interests, stocks, bonds, and notes do not qualify as like-kind real estate under current tax code provisions.

To ensure your proposed transaction meets the like-kind threshold, you must demonstrate investment intent and establish proper holding periods for both the sold and acquired assets. Working with specialized advisors helps verify that every property in your transaction satisfies IRS qualifying standards.
